The WorldMark Annual Owner Meeting is a chance for owners to receive updates about the club, hear from the current Board of Directors and the nominees for the board election, and vote in the election.
All WorldMark owners are invited to attend the Annual Owner Meeting. An archive of the webcast will also be available on the WorldMark owner website following the event.
WorldMark, The Club is a world-class vacation club. It is governed by a five (5)-member Board of Directors, which manages a budget of approximately $450 million, a $142 million reserve fund, and oversight responsibilities for assets in 17 states and four countries offering members the opportunity to travel to nearly 100 WorldMark resorts. An election is held each year during the Annual Owner Meeting for a selection of the available seats on the board.
Only WorldMark owners in good standing can vote in the election. In order to be eligible, owners must be a current WorldMark owner as of the record date and not be 60 days or more delinquent on any amount owed to WorldMark.
A proxy is the appointment of an individual, corporation, or other type of legal entity (proxy holder) to cast votes on one’s behalf in the event they are not able to personally attend a club meeting or election, such as the Annual Owner Meeting. The WorldMark Bylaws require that every membership be permitted to either vote in person or appoint a proxy holder by a written document (proxy) to vote on behalf of the membership.
Proxies are a valuable component of the club’s voting process. The use of proxies has always been mandated in the WorldMark, The Club Bylaws. In the event owners are not able to personally attend the Annual Owner Meeting, they are permitted to vote in Board elections and other corporate governance matters by assigning a proxy to a proxy holder who represents their interest.
